Since April 23, 2025, Kimitec Biogroup, S.L. y Agroindustrial Kimitec, S.L. (hereinafter, “KIMITEC” and “AKSL,” respectively, and jointly, the “Companies”), are currently undergoing a pre-insolvency process to achieve their respective restructuring plans (hereinafter, collectively, the “Restructuring Plans,” and each individually, “Restructuring Plan”).

Likewise, in order to advance the restructuring process, the Commercial Court No. 1 of Almería was requested to appoint VEST PARTNERS ESTRADA, S.L. as a restructuring expert to assist the Companies and their creditors in the negotiations and preparation of the Restructuring Plans. Such appointment was made by decision dated September 18, 2025.

Given this situation, and in strict compliance with the provisions of Article 627 of the TRLC, we hereby inform you that on October 22, 2025, both Companies, together with one of its principal creditors has signed its Restructuring Plans and has made it public by virtue of a deed authorized by the Notary Public of Madrid, Mr. Francisco Miras Ortiz.

Given the current financial situation of the Companies (state of actual insolvency), if not remedied promptly, it will inevitably lead to insolvency and liquidation proceedings. In these circumstances, the Restructuring Plans have been proposed representing the only viable alternative available to the Companies. We trust that, after due consideration, you will be able to extend your support for this solution, as the alternative would be significantly less favourable for all creditors of the Companies, given that liquidation proceedings invariably entail a substantial impairment of asset value and a lower recovery rate for creditors.

In such email, please indicate the email address where would like to receive the information, as well as the title entitling you to access it (your status as an affected creditor by the restructuring plan of either of the Companies), including the document evidencing the authority to represent the creditor.

Along with the requested information, you will receive detailed instructions on how to formalize your participation in the Restructuring Plan that affects you. Please note that the deadline for formalizing your participation is as follows: 12 November 2025 at 23:59 hours (the “End date of the Adherence Period”).
